The Opportunity: Senior Governance Adviser
This role plays a critical part in supporting Medibank’s governance framework by providing high-quality governance advice and company secretarial services to Medibank’s wholly owned subsidiaries.
Reporting to the Head of Legal – Governance, you will act as a trusted governance adviser, partnering with stakeholders across the business to ensure strong governance practices, regulatory compliance and effective management of corporate obligations. As a member of the Governance Legal team (which sits within the broader Trust, Legal & Company Secretariat team), you will help drive governance excellence through the delivery of company secretarial services, governance advice and continuous improvement of governance processes and records management.
How you will create value
In this broad and dynamic role, you will add value by:

Providing expert governance advice and support to subsidiary boards and key internal stakeholders.

Delivering company secretarial services to Medibank’s subsidiaries, including willingness to act as nominated company secretary, to all group wholly owned subsidiary companies.

Managing corporate governance obligations through the preparation of board documentation, resolutions, ASIC lodgements and statutory records.

Coordinating subsidiary board meetings, including agenda preparation, board paper reviews, minute taking and follow-up actions.

Acting as a subject matter expert on governance matters, including company administration requirements, directors’ duties and governance developments.

Leading best practice approaches to board minutes and governance documentation, including supporting governance capability uplift across the business.

Leveraging technology and process improvements to enhance governance operations, records management and service delivery.

Supporting the broader Governance Legal team in managing the governance and company secretarial requirements of Medibank Private Limited.
About you
You are an experienced governance and company secretariat professional with a strong understanding of corporate governance requirements and a passion for delivering high-quality advice and support in a complex organisation. Your attention to detail, sound judgement and ability to build trusted stakeholder relationships will be critical to success in this role.
Key attributes and experience include:

8+ years’ post-degree experience, with demonstrated experience in company secretariat and corporate governance.

Strong knowledge of the Corporations Act, company administration requirements and governance obligations.

Proven capability providing governance advice and services within a large and complex organisation.

Excellent written and verbal communication skills, with the ability to explain governance matters clearly to diverse stakeholders.

Strong drafting, document review and minute-taking capabilities.

Ability to work autonomously, manage competing priorities and deliver outcomes in a demanding environment.

Experience with governance technology platforms and corporate records management systems will be highly regarded.
